Course Title: Legal Aspects of Business

Course Objective: Aim of the course is to make students aware about legal perspective of the business and organization as well as to give the basic knowledge about the rules and regulation of execution of Business and activities of enterprise.

Learning Outcome: On completion of this course, Students will acquire capability to understand the basic theme of Indian Contract Act, Sale of goods Act, Negotiable Instrument Act, RTI Act, Partnership Act and Companies Act, describe the concept of contract, its elements, its types and its formation; Formation and different matters related to contract of sale of goods, deal with negotiable instrument and RTI issues, explain Right, Duties and Relation of partners as well firm related matters and understand the different issues of company including its type, documents, formation and directors.

Course Content

Unit 1: Indian Contract Act 1872 (Lectures: 15)

Concept of Agreement and Contract, Essential elements of a valid contract- Offer, Acceptance, Consideration, Capacity, Free consent and Lawful agreement; Classification of contract- general, special, void, voidable, contingent contract, quasi Contract; Performance of contract, Discharge of contract, Remedies for breach of contract, Contract of agency.

Unit 2: Sale of Goods Act, 1930 (Lectures: 10)

Formation of contract of sale of goods, Condition and Warranty, Transfer of property in goods, Performance of contract of sales, Rights of Unpaid seller.

Unit 3: Negotiable Instrument Act 1881 and RTI Act 2005 (Lectures: 10)

Concept and characteristics of negotiable instruments, Holder and holder in due Courses, Crossing of cheque, Dishonor and discharge of negotiable instruments. RTI Act, 2005: Concept, Process.

Unit 4: Partnership Act 1932 (Lectures: 20)

Definition, Nature and Kinds of Partnership, Rules regarding registration of partnership firm, Partnership Deed; Right and Duties of Partners, Relation of partners to one another, Relation of partners to third parties, Dissolution of a partnership firm.

Unit 5: Companies Act, 2013 (Lectures: 20)

Definition of company; Essential features of company; Types of Company; Memorandum of Association and Articles of Association- Contents and alteration; Prospectus–Concept and Contents, Incorporation of Company- Steps involved in formation, Procedure for registration and incorporation, Promoters’ Liabilities; Directors– Definition, Mode of appointment, Retirement, Remuneration of Directors; Company Meeting- Kinds, Rules regarding meeting, Notice, Quorum, Proxy.
