Course Objective: The objective of this course is to familiarize the students with the conceptual background, theories, techniques, scope, importance and other significant aspects of Corporate Governance.

Learning Outcome: After studying this course, the students will be able to understand the basic concepts and issues attached with corporate governance, know the significance of corporate governance and its practice in Indian companies, understand the composition, role and the forms of boards and develop knowledge on the various theories of corporate governance.

Unit 1: Introduction to Corporate Governance (Lectures: 10)

Meaning, Significance, Functions and Objectives. Evolution and Development of Corporate Governance in India. Pillars and components. Recent Development in Corporate Governance.

Unit 2: Theories of Corporate Governance (Lectures: 18)

Corporate Governance Theories- Organizational Theories (including Stewardship, Resource and Institutional Theory), Economic Theories (such as Agency, Finance and Managerial Theory) and the Stakeholder Theory. Corporate Governance and Corporate Performance - guidelines in companies. Case Study.

Unit 3: Corporate Governance in India (Lectures: 15)

Corporate Governance in India: Historical Models, Salient features; Main recommendations of the Corporate Governance Committees and Codes in India; Corporate Governance and Legislations in India; Corporate Governance in the Public Sector in India.

Unit 4: Corporate Governance and the Board of Directors (Lectures: 17)

Composition of Board of Directors; Corporate Governance and Role of Board: Corporate Governance – other components; Corporate Governance system across the world: Single board Vs Dual board; Germany – Japanese system – ‘networked model’ Vs Anglo – American system – ‘high – tension model’

Unit 5: Shareholders – Corporate Governance and Corporate Social Responsibility (CSR) (Lectures: 15)

Rights and privileges of shareholders; Grievance redressal process in India; Relationship between Corporate Governance and Investor Protection; Concept and importance of Shareholder activism

Corporate governance, CSR and the Stakeholders of business, Scope of of CSR; Scope of CSR; CSR and Indian corporations; CSR Reporting.
